““Addenduma').

I.
ÚVODNÍ USTANOVENÍ

Strany mezi sebou dne 13. března 2024 uzavřely
SMLOUVU o POSKYTNUTÍ
VZDĚLÁVACÍHO GRANTU
PROSTŘEDNICTVÍM GBT ČR S.R.O. Č.
CZOTOTOO496 (dále jen „Smlouva“), jejímž
ředmětem je úprava práv a povinností Stran
v souvislosti s poskytnutím vzdělávacího grantu
Příjemci Gmntu prostřednictvím AMEX a to
formou finanční podpory pro účely podpory
účasti zdravotnického pracovníka na vzdělávací
akci pořádané třetí stranou s názvem „12th
Congress of the International Federation for
the Surgery of Obesity and Metabolic
Disorders — European Chapter (IFSO-EC
2024); 2. 5. 2024 — 4. 5. 2024; Vídeň,
Rakousko“ („Projek “).

Strany mají zájem upravit svá vzájemná práva a
povinnosti vyplývající Z této Smlouvy.

II.
PŘEDMĚT DODATKU

Předmětem tohoto Dodatku je dohoda Stran o
změně Smlouvy tak, jak je specifikováno v čl. III.
tohoto Dodatku.

Všechna ustanovení Smlouvy nedotčená tímto
Dodatkem zůstávají nezměněná.

III.
ZMĚNA SMLOUVY

Strany se dohodly na následujících změnách
Smlouvy:

A) Z důvodu změny v počtu
zdravotnických pracovníků, kteří se
měli na základě Smlouvy účastnit na
Projektu, se Strany dohodly na změně
znění článku 1.2 písm. (3) Smlouvy.
Článek 1.2 písm. (3) Smlouvy se mění a
nahrazuje se následovným zněním:

I.
INTRODUCTORY PROVISIONS

On March 13, 2024, the Parties concluded THE
EDUCATIONAL GRANT AGREEMENT
THROUGH GBT ČR S.R.O. NO.
CZOTOTOO496 (the ““Agreementa'), the
subject of which is the regulation of the lights
and obligations of the Parties in the provision of
the educational grant to the Grant Recipient
through AMEX in the form of a financial
donation for the purposes of supporting the
participation of & healthcare professional at the
following third party-organized educational
event: „12th Congress of the International
Federation for the Surgery of Obesity and
Metabolic Disorders — European Chapter
(IFSO-EC 2024); 2. 5. 2024 — 4. 5. 2024;
Vienna, Austria“ (““Programmea').

The Parties intend to modify their mutual rights
and obligations an'sing from the Agreement.

II.

SUBJECT MATTER OF THE ADDENDUM

The subject matter hereof shall be the
agreement of the Parties on the modification of
the Agreement as specifled below in Article III.
hereof.

All other provisions of the Agreement not
modified by this Addendum, shall remain valid
and in force.

III.
MODIFICATION OF THE AGREEMENT

The Parties have agreed that the Agreement
shall be modifled as follows:

A) Due to the change in the number of the
Healthcare professionals who were to
participate in the Programme under
this Agreement, the Parties mutually
agree to amend Article 1.2 (3) of the
Agreement. Article 1.2 (3) of the
Agreement shall be amended and
replaced with the following provision:

(„Projekt “). "

B) Z důvodu snížení počtu
zdravotnických pmcovníků, kteří se
měli na základě Smlouvy účastnit na
Projektu, se Strany dohodly na snížení
hodnoty Gmntu uvedene včlánku 2.1
Smlouvy. Vteto souvislosti se znění
článku 2.1 Smlouvy, věta prvni mění a
nahrazuje se následovným zněním:

„ Vsouladu s ustanovením teto Smlouvy

se Společnost zavazuje poskytnout
Příjemci Grantu prostřednictvím AMEX
Grant odpovídající peněžní částce ve
výši třicet sedm tisíc šest set šedesát pět
korun českých (3 7. 665,-- Kč). “

IV.
ZÁVĚREČNÁ USTANOVENÍ

Tento Dodatek nabývá platnosti & účinnosti
dnem jeho podpisu oběma Stmnami.

V případě jakehokoli rozporu mezi českou a
anglickou verzí tohoto Dodatku je rozhodující
česke znění.

Tento Dodatek je vyhotoven ve dvou (2)
vyhotoveních, Z nichž každá ze Smluvních stran
obdrží po jednom (1) vyhotovení.

B) Due to the reduction in the number of
the Healthcare professionals who were
to participate in the Programme under
this Agreement, the Parties mutually
agree to decrease the value of the Grant
set forth in Article 2.1 of the
Agreement. The flrst sentence of
Article 2.1 of the Agreement shall be
amended and replaced with the
following provision:

“Subject to the provisions of this
Agreement, the Company shallprovide
through AMEX to the Grant Reeipient,
the Grant corresponding to the sum of
thirty-seven thousand six hundred
sixty-five Czech crowns ( CZK
3 7. 665,-- . ,'

IV.
FINAL PROVISIONS

This Addendum shall become valid and
effective on the day of signing hereof by both
Parties.

In the event of any discrepancies between the
Czech and English versions hereof, the Czech
version shall prevaíl.

This Addendum shall be executed in two (2)
countetpatts; each Party shall obtain one (1)
countet'patt.
