AGENCY AGREEMENTI

the Karlovy Vary Symphony Orchestra, Husovo nám. 2, 36001 Karlovy Vary, Czech Republic - hereafter referred ORCHESTRA agrees to the following:
I Object of agreement
1. The ORCHESTRA asks KSG with the planning, organisation and acceptance oĝ the following concerts: I. Date and place: 15.09.23 Holzminden, 16.09.23 Mosbach, 17.09.23 Lùdenscheid
2. Conductor.

4. The orchestra consistsofmax.: 8/6/4/4/3 —2/2/2/2 —4/213/1 -tymp. I
=44 musicians + 1 manager + 1 director + 2 technicians =48 persons
5. Prograrns: Smetana: Ouvertüre zu "Die verkaufte Brau', Beethoven: Konzert fùr Klavier und Orchester Nr. 3 c-moll, Dvorak: Sinfonie Nr. 6 D-dur
2. The contracting parties of the concert agreements based upon this agency agreement are ónly Ilie promoter Of concerts on one and the orchestra on the other hand. In each case KSG Is oniy the agenti middleman and not the contracting party of the concert agreements (§ 164 BOB).
3 ORCHESTRA insures KSG to complete the mediated concerts properly, especially to arrive at the concert haHs on time.
2 Power af PCOXY
Hereby the ORCHESTRA gives KSG - for the periods of the agreement beyond recall - the authority Of negotiation, óonclusion oĝ contracts and colledtion procedure. Therefore KSG is instructed to conclude the concert agreements and au athen contractual regulatlons that might be necessary In the name oĝ the ORCHESTRA. Furthermore KSG Is autho(jzed to collect the salanies for ORCHESTRA In his name and forward to creditlng and deducting his commission on this.
3 Accessory obligation, Anciflary services
1. KSG Is asked to book the hotels In the name oĝ ORCHESTRA.
2. ORCHESTRA warránts that latest 6 months prior to the tour ali relevant certIflates and applications for tax exemption will be subrnitted according to the requests oĝ the German tax authorities. 4 weeks before the flrst concert ORCHESTRA has to submit the stage instructions and the room list for the hotols. ORCHESTRA will bring beside all necessary instruments: simole music standa, conductor's music stand, stools for the double bass player, In case such oquipment Is not available In the hall.
4 Cost, Provision
a) AII cost accumulate by the concerts and every further expenses for the ORCHESTRA es well es potential conductor's fee have to be paid fram the concert salaries, as long es KSG agrees to it and accepts the respective eXpenses. The ORCHESTRA authorizes KSG to collect the salaries In the name of the ORCHESTRA (see § 2).
b) Expenses to be borne by ORCHESTRA:
Medical insurance and insurance of the instruments (400€ will be covered by KSG)
c) Expenses to be paid from the orchestra's concert salaries by KSO:
€ 7.200,- Euro 11€ 150,- per person (48 persons)
Orchestra fee:€ 5.000,-
Travel: In 1 bus á ca. 50 seats + I extra truck for transport of the instnuments + 2 driver (one for the bus, one for the
truck) will be organised by ORCHESTRA, but pajd by KSG
Accommodation: Aècommodation (max. 50 persons incl. 2 driver: one for the bus and one for the truck) In good middle class hotels (' "+ on according to local facílities) during the tour starting from the nightof the flrst concert and ending with the night after the last concert.
5 Method of payment
After the receipt ot the salaries for the concerts KSG will all costs mentioned above (§ 4c) forward to the ORCHTESTRA. The difference between the salaries for the concerts and all costa (per diem, hotels, transport etc.) accepted by KSG Is agreed to be the commission Of KSG.
6 Written forml Suppiementary agreement! Severability clause/ Chebe of law
1. Changes and amendment oĝ thisagreement must be In wtitten form. This elso applies to any waiver ofthe written from. Thene have been no side agreements made.
2. Insolär es any pnovision Of this agreement should be invalid for compelling reasons, this will not affect the validity of the remaining provisions (severability clause). One such invalid provision shell be replaced by a statutory permissible, its meaning and purpose of economic con'esponding provision.
3. This agreement Is subject Of German law.
